These Terms & Conditions (the “Terms”) govern your access to and use of the websites, services, and software provided by The Social Fable (“The Social Fable,” “we,” “us,” or “our”), including our in-house tool for scheduling and publishing content to social media accounts (collectively, the “Services”). Please read them carefully.
1. Introduction & Acceptance of Terms
By accessing or using the Services, by connecting a social media account to our tools, or by otherwise engaging The Social Fable to provide services to you, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you are entering into these Terms on behalf of a company or other organization, you represent that you have the authority to bind that entity, and “you” refers to that entity. If you do not agree to these Terms, you must not use the Services.
2. Description of Services
The Social Fable is a social media marketing agency. We provide creative and marketing services — including content production, strategy, performance marketing, web and software development, and related deliverables — and we operate an in-house tool that schedules and publishes content to our clients’ connected social media accounts.
Our scheduling and publishing tool connects to third-party social media platforms, including Facebook and Instagram (Meta), TikTok, and YouTube, using each platform’s official application programming interfaces (“APIs”). Through these APIs, and only with your authorization, the tool can publish content you have prepared, schedule that content to be published at times you choose, and retrieve basic account information and post-level performance data so that we can report on results. The specific features available may change over time as we improve the Services or as third-party platforms change their APIs.
3. Accounts & Connections
You may only connect social media accounts that you own or that you are authorized to manage on behalf of their owner. By connecting an account, you represent and warrant that you have all rights and permissions necessary to do so and to allow us to act on that account through the relevant platform’s API.
You are solely responsible for the content you create, schedule, and publish through the Services, and for ensuring that your accounts and your content comply with the terms, policies, and community guidelines of each platform you connect, including the Meta Terms of Service and Platform Terms, the TikTok Terms of Service and Community Guidelines, and the YouTube Terms of Service. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account with us.
4. Authorization
When you connect a social media account to our tool, you expressly authorize The Social Fable to access that account through the relevant platform’s API and, on your behalf and solely to provide the Services, to publish content, schedule content for future publication, and retrieve account information and analytics. We exercise this authorization only to deliver the Services you have requested and for no unrelated purpose.
You may revoke this authorization at any time by disconnecting the account within our tool, or by removing our application’s access through the relevant platform’s own settings. When you disconnect an account, we will stop accessing it and will delete the stored access tokens associated with that connection, as described in our Privacy Policy.
5. Acceptable Use
You agree that you will not use the Services to create, schedule, publish, or distribute any content that:
- is unlawful, fraudulent, deceptive, or misleading;
- infringes or misappropriates the intellectual property, privacy, or other rights of any person or entity;
- is defamatory, harassing, hateful, or otherwise objectionable;
- contains malware, spam, or attempts to interfere with or gain unauthorized access to any system, account, or network; or
- violates the terms, policies, or community guidelines of any connected platform (including Meta, TikTok, and YouTube).
We may suspend or terminate access to the Services, or remove or refuse to publish content, if we reasonably believe it violates these Terms or any applicable platform policy or law.
6. Intellectual Property
As between you and The Social Fable, you retain all ownership of the content, materials, and trademarks that you provide or create through the Services (“Your Content”). You grant us a limited, non-exclusive license to host, process, transmit, and publish Your Content solely as necessary to provide the Services — for example, to publish it to the accounts you have connected at the times you schedule.
The Services themselves — including our software, tools, designs, and underlying technology, but excluding Your Content and third-party materials — are owned by The Social Fable or our licensors and are protected by intellectual property laws. Nothing in these Terms transfers any ownership of the Services to you.
7. Disclaimers
The Services are provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that any content will be published, retrieved, or stored without delay or loss.
The Services depend on third-party platforms and their APIs, which are outside our control. We are not responsible or liable for any failure, delay, suspension, rejection, rate-limiting, content removal, account action, data loss, or change in functionality caused by Meta, TikTok, YouTube, or any other third-party platform, or for any act or omission of those platforms. Your use of each platform remains subject to that platform’s own terms and policies.
8. Limitation of Liability
To the maximum extent permitted by law, The Social Fable and its owners, employees, and contractors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities, arising out of or relating to your use of (or inability to use) the Services, even if we have been advised of the possibility of such damages.
To the maximum extent permitted by law, our total aggregate liability for any claim arising out of or relating to these Terms or the Services will not exceed the greater of the amounts you paid to us for the Services in the three (3) months preceding the event giving rise to the claim, or one hundred (100) units of the applicable currency. Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.
9. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the “Last updated” date at the top of this page and, where appropriate, provide additional notice. Changes are effective when posted. Your continued use of the Services after changes take effect constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Services and disconnect any connected accounts.
10. Governing Law & Contact
These Terms are governed by and construed in accordance with the laws of British Columbia, without regard to its conflict of laws principles, and you agree to the exclusive jurisdiction of the courts located in British Columbia for any dispute arising out of or relating to these Terms or the Services.
